1. Acceptance of Terms

By accessing and using the weartech-pro.com website, submitting inquiries, or placing orders, you accept and agree to be bound by these Terms of Service.

3.1 Product Description

We make every effort to provide accurate product descriptions and specifications. As our products are typically custom industrial products, final specifications will be determined at the time of order confirmation.

3.2 Pricing

• All quotations are in USD or RMB, depending on the order
• Quotations are valid for 30 days
• Prices do not include shipping, insurance, and import duties (unless otherwise stated)
• We reserve the right to change prices at any time without notice (except after order confirmation)

3.3 Quotations

All quotations are non-binding and subject to our written confirmation.

4. Order Process

4.1 Order Submission

Orders may be submitted through:

• Email
• Purchase order document
• Website inquiry form

4.2 Order Confirmation

• Upon receipt of your order, we will send a formal order confirmation
• Production will begin after receiving deposit and buyer’s written confirmation
• We reserve the right to refuse any order

4.3 Order Modifications

• Order modifications must be submitted in writing
• Changes requested after production has started may incur additional costs
• We will confirm any price adjustments resulting from modifications

5. Payment Terms

5.1 Standard Terms

• Deposit: 30% upon order confirmation
• Balance: 70% prior to shipment
• Large or custom orders may require different payment arrangements

5.2 Accepted Payment Methods

• Telegraphic Transfer (T/T)
• Letter of Credit (L/C) – for orders meeting minimum value requirements
• Other methods may be negotiated separately

5.3 Late Payment

• Late payments may incur interest charges of 1.5% per month
• We reserve the right to suspend production or delivery for overdue accounts

6. Shipping and Delivery

6.1 Delivery Terms

• Standard Terms: FOB Qingdao Port, China
• Other Incoterms may be arranged upon request
• Risk of loss passes to the buyer upon delivery to the carrier

6.2 Lead Times

• Standard Products: 15-30 business days from order confirmation
• Custom Products: 30-60 business days depending on complexity
• Lead times are estimates and subject to production schedule adjustments
• We will notify you of any significant delays

6.3 Shipping Costs

• Freight, insurance, and shipping costs are specified separately in quotations
• Import duties, taxes, and customs clearance are the buyer’s responsibility

6.4 Delivery Inspection

• Buyer should inspect goods immediately upon receipt
• Damages or shortages must be reported in writing within 7 days with photographic evidence
• Carrier damage claims must be filed with the shipping company

7. Intellectual Property

7.1 Website Content

• All website content, including text, images, logos, and product designs, is our intellectual property
• Content may not be reproduced, distributed, modified, or otherwise used without our written permission

7.2 Product Designs

• Standard product designs remain our exclusive property
• Custom designs developed for the buyer may not be shared with third parties without mutual consent

8. Product Warranty

8.1 Warranty Coverage

• Standard Warranty Period: 12 months from delivery date
• Warranty covers defects in materials and workmanship under normal use
• Warranty applies only to the original purchaser and is non-transferable

8.2 Warranty Exclusions

Warranty does NOT cover:

• Normal wear and tear
• Misuse, abuse, or improper installation
• Modifications not approved by us
• Damage from chemical incompatibility
• Damage from extreme temperature or pressure
• Acts of God, accidents, or negligence

8.3 Warranty Remedies

At our option:

• Repair defective products
• Replace defective products at no cost
• Refund purchase price for defective products
• Buyer is entitled to reimbursement of original shipping costs if defect is our responsibility

9. Limitation of Liability

9.1 Maximum Liability

Our total aggregate liability under any claim shall not exceed the purchase price of the specific product giving rise to the claim.

9.2 Excluded Damages

We shall not be liable for:

• Indirect, incidental, or consequential damages
• Lost profits or business interruption
• Labor costs for installation or removal
• Third-party claims against the buyer
• Damages resulting from buyer’s negligence

10. Termination

Either party may terminate an order:

• By mutual written agreement
• For material breach if not cured within 30 days
• If the other party becomes insolvent or enters liquidation

Upon termination:

• Buyer pays for all work completed up to the termination date
• Both parties return or destroy confidential information

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms of Service and any separate agreements shall be governed by and construed in accordance with the laws of the People’s Republic of China.

11.2 Dispute Resolution

• Parties shall first attempt to resolve disputes through friendly negotiation
• If unresolved, disputes shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC) for arbitration
• Arbitration shall be conducted in the Chinese language
• Arbitration award shall be final and binding on both parties

12. Miscellaneous

12.1 Entire Agreement

These terms constitute the entire agreement between the parties, superseding all prior agreements and understandings.

12.2 Severability

If any provision is found unenforceable, the remaining provisions shall continue in full force and effect.

12.3 No Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any subsequent breach.

12.4 Assignment

Buyer may not assign any rights or obligations without our prior written consent.
